Independent Contractor Agreement
An independent contractor agreement provides more detailed protection than a basic freelancer contract — ideal for longer or more complex engagements.
What is a Independent Contractor Agreement?
An independent contractor agreement is a formal contract between a contractor and a client that sets out the terms of a professional services engagement in detail. It covers the services to be performed, fees and payment terms, IP ownership, confidentiality obligations, the contractor's independent status, and termination rights.
Independent contractor agreements are more comprehensive than basic freelancer contracts and are appropriate for longer engagements, higher-value projects, or situations where the client is a larger business with formal contracting requirements.
When do you need a Independent Contractor Agreement?
- ✓For longer-term or higher-value engagements requiring more detailed documentation
- ✓When working with enterprise or large business clients who require formal contractor agreements
- ✓When the engagement involves access to confidential systems, data, or IP
- ✓When the project spans multiple months or has complex milestone-based payment terms

Frequently asked questions
Do I need an ABN as a freelancer in Australia?
You are not legally required to have an ABN as a freelancer, but without one, clients may be required to withhold 47% of your payment under the withholding tax rules. Having an ABN confirms your independent business status and makes payment straightforward. If you earn more than $75,000 per year, you must also register for GST.
